TERMS AND CONDITIONS FOR ALUMNI

1. GENERAL INFORMATION This document establishes the terms and conditions of use (hereinafter referred to as the "Terms") that govern access to and use of the Nialum LLC software platform (hereinafter referred to as the "Platform"), including the content and services made available to users (hereinafter referred to as the "User" and, where appropriate, the "Users") through the Platform. The Platform is owned by Nialum LLC, located at 1209 Mountain Road Pl NE Ste N, Albuquerque, NM 87110, USA, and has been contracted by the educational institution to which the User belongs or previously belonged as a student (hereinafter referred to as the "Institution"). For the purposes of these Terms, "User" refers to individuals who have studied at the Institution and wish to access the Platform to maintain contact with their peers, the Institution, and the educational community. Access to and use of certain content and/or services may be subject to specific conditions that will supplement or, where appropriate, prevail over the provisions of these Terms. Any matters not expressly addressed in these Terms shall be reserved for Nialum, without prejudice to the application of the relevant laws of the User's country of residence. Nialum reserves the right to make modifications and/or updates to these Terms as it deems appropriate, subject to notifying the User at least 15 calendar days in advance of the effective date of the changes. The User may accept or reject the proposed changes. If the User accepts the changes, the Terms will be updated accordingly. If the User rejects the changes, they may request to unsubscribe from the Platform without any penalty by notifying Nialum in writing before the changes take effect. Accessing and using the Platform implies that the User expressly and unreservedly accepts these Terms, which shall have the same validity and effectiveness as any written and signed agreement. If you do not agree to these Terms, we suggest that you refrain from using the Platform. 2. WHAT IS NIALUM? WHAT SERVICES DOES IT OFFER? Nialum is a software platform that allows Institutions to create communities of their alumni, functioning as closed communities. The Platform fosters fluid, up-to-date, and direct communication between Institutions and their alumni, aiming to connect them to share experiences and support each other. Its purpose is to generate a positive impact on learning and the future development of current students, as well as to enhance the benefits that interaction among Users can provide. Additionally, the Platform allows Users to engage in various activities, including but not limited to:   • Publishing, viewing, or interacting with content related to topics of interest to the community, such as:       o Professional space: employment, scholarships, entrepreneurship, mentoring, and success stories.       o Social space: community news, sports, and culture.       o Social commitment: sustainability, environmental awareness, and solidarity.       o Benefits club: professional services with discounts or promotions.       o Events calendar: participating in events organized by the community.       o Photos and memories: sharing images and reminiscing about past experiences. 3. PLATFORM REGISTRATION AND USE 3.1. Registration Access, registration, and use of the Platform are free of charge for the User unless otherwise determined by the Institution.   • The User must be of legal age to register and use the Platform.   • Registration requires providing information such as name, email address, date of birth, city of residence, and a strong password. 3.2. Profile Verification Verification includes confirming the email address through a link and, if necessary, validating the phone number. 3.3. Account Deletion The User may unsubscribe from the Platform at any time through the “Profile” section or by sending a written request to support@nialum.com. Account deletion will result in the removal of all User data, as outlined in the Privacy Policy. 4. PRICING, SUBSCRIPTION, AND TRIAL PERIOD Access to and use of the Platform are generally free, except for specific features that may be subject to fees determined by the Institution and Nialum. Nialum may offer free trial periods for certain features, which will be governed by these Terms and, where applicable, by specific conditions. 5. INTELLECTUAL PROPERTY, INDUSTRIAL PROPERTY, AND IMAGE RIGHTS All intellectual and industrial property rights related to the Platform are owned by Nialum LLC. Users agree to respect these rights and refrain from using the Platform’s content for unauthorized purposes. 6. USER SUPPORT AND COMMUNICATION Users may contact Nialum for inquiries, complaints, and suggestions via support@nialum.com. 7. RESPONSIBILITIES AND PROPER USE The User is responsible for:   • Using the Platform diligently and in compliance with applicable laws.   • Refraining from publishing offensive, illegal, or rights-infringing content.   • Keeping their personal information up to date. Nialum is not responsible for:   • Technical failures beyond its control.   • Content published by third parties. 8. DISPUTE RESOLUTION Disputes related to these Terms will be resolved in accordance with the laws of the User's country of residence, unless local laws provide otherwise. In the absence of specific provisions, the jurisdiction of the courts of Albuquerque, New Mexico, United States will apply. 9. MODIFICATIONS Nialum reserves the right to amend these Terms. Changes will be communicated to the User, who must accept them to continue using the Platform. 10.
