GENERAL TERMS AND CONDITIONS OF CONTRACT 1. Introduction Welcome to the General Terms and Conditions of Contract (hereinafter referred to as the "Terms and Conditions"). These govern the contractual relationship between Nialum LLC (hereinafter referred to as "Nialum," "we," or "our") and authorized entities such as educational institutions, foundations, associations, or similar organizations that contract our services (hereinafter referred to as the "Contracting Entity"). Please note that end users, such as students or alumni (hereinafter referred to as "Users"), cannot directly contract services with Nialum. Their access to the Platform is governed by the terms established in the agreement between Nialum and the Contracting Entity. Purpose of the Terms and Conditions These Terms and Conditions define the scope, use, and contractual obligations related to the services provided by Nialum through its online Platform. • They exclusively apply to agreements with Contracting Entities. • Specific terms applicable to Users (alumni) are detailed in the Alumni Terms and Conditions, which must be accepted by Users upon registration. 3. Contracting Process 3.1. Service Requests Only Contracting Entities may request services from Nialum. Requests must be made through the Platform or official website and must include accurate and complete information. 3.2. Payment Methods The Contracting Entity may use the following payment methods: • Bank transfer. • Credit or debit cards (Visa, MasterCard, American Express). • Other electronic payment systems approved by Nialum. 3.3. Contract Confirmation Upon receiving payment, Nialum will confirm the contract via email, outlining the services and providing activation instructions. 4. Duration and Renewal 4.1. Initial Duration The contract is valid for an initial period of one (1) year from the date of service activation. 4.2. Automatic Renewal The contract will automatically renew for subsequent annual periods unless the Contracting Entity provides written notice of non-renewal at least thirty (30) days before the expiration date. 5. Cancellation and Refund Policy 5.1. Right to Cancel The Contracting Entity may cancel the contract within seven (7) business days of its execution, provided the services have not yet been activated. 5.2. Refunds In the case of a valid cancellation, Nialum will process a refund within seven (7) business days. 5.3. Exceptions Refunds will not be issued under the following circumstances: • Services have already been activated. • The cancellation request is submitted after the specified period. 6. Obligations of the Parties 6.1. Obligations of Nialum • Deliver the services as outlined in the contract. • Ensure the security and confidentiality of personal data in compliance with applicable laws (e.g., GDPR, CCPA, and similar regulations globally). • Notify the Contracting Entity of any significant changes to the services. 6.2. Obligations of the Contracting Entity • Provide accurate and up-to-date information. • Ensure Users comply with the Platform's rules and policies. • Adhere to these Terms and Conditions. 7. Relationship with End Users (Alumni) Users access the Platform as beneficiaries of the contract between Nialum and the Contracting Entity. Their access and use of the Platform are governed by the Alumni Terms and Conditions, which must be accepted during registration. The Contracting Entity is responsible for: • Managing User access. • Ensuring compliance with the applicable terms. 8. Intellectual Property All rights to the Platform, including trademarks, logos, designs, and content, are exclusively owned by Nialum LLC or its licensors. Unauthorized reproduction, modification, or distribution is strictly prohibited. 9. Data Protection The processing of personal data collected through the Platform is governed by Nialum’s Privacy Policy and complies with: • The General Data Protection Regulation (GDPR) for users in the European Union. • The California Consumer Privacy Act (CCPA) for users in the United States. • Local and regional privacy regulations for users in other jurisdictions, including Latin America, Australia, Asia, Africa, and the Middle East, in accordance with international data transfer frameworks and relevant local laws. Nialum ensures appropriate safeguards are in place, such as Standard Contractual Clauses (SCCs) or equivalent frameworks, to maintain data protection compliance globally. 10. Modifications to the Terms and Conditions Nialum reserves the right to modify these Terms and Conditions at any time. Changes will be posted on the Platform, and continued use of the services will constitute acceptance of such modifications. 11. Governing Law and Jurisdiction This contract is governed by: • The laws of the State of New Mexico, USA, for disputes originating in the United States. • The GDPR and relevant laws of the European Union for users in the EU. • Applicable local laws for users in other regions, such as the Personal Data Protection Act (PDPA) for users in Asia, the Australian Privacy Act, or equivalent laws. Disputes in the United States will be resolved in the courts of Albuquerque, New Mexico, unless otherwise required by applicable law. 12.
